1. Company Information

These T&C govern your use of our subscription-based digital services, which are primarily delivered through direct communication channels, including but not limited to WhatsApp.

2. Acceptance of Terms

By signing up for our services, you confirm you have read, understood, and agree to these T&C. We reserve the right to modify or update these T&C at any time. Any changes will be effective upon posting the updated version on our website. Continued use of our services after any update signifies your acceptance of the modified T&C.

3. Description of Services

Online Now! offers website design, hosting, graphics, branding, SEO, and related digital services on a flat-rate subscription model. Specific requests and deliverables are coordinated via WhatsApp or any other communication channel we agree upon.

4. Subscription & Payment

Subscription Model

Your subscription grants you access to our services for as long as you maintain an active payment plan. We use Stripe for payment processing. By providing your payment information, you authorize us to charge the applicable subscription fees.

No Refund Policy

All subscription fees are non-refundable. We do not provide any refunds or money-back guarantees.

Late or Failed Payments

If a payment fails, we will notify you. If payment is not received within 60 days, we may suspend or terminate your service and shut down the associated website or digital assets without further notice.

Opt-Out Fee for Asset Ownership

While you remain subscribed, we maintain and manage your digital assets. If, at any time, you wish to fully transfer ownership of the developed website, brand assets, or other deliverables, you must pay an opt-out fee equivalent to one year (12 months) of your current monthly subscription rate.

Example: If you have been subscribed for six (6) months and want to transfer ownership, you must pay the difference to reach a full 12-month total. Upon payment, all relevant assets are transferred to your control.

Custom Sales & Pricing

Any custom or one-off sales outside of the standard subscription model are subject to separate Terms & Conditions. A separate written contract may be required, detailing the specific scope, fees, and additional clauses.

5. Conduct & Communication

WhatsApp & Communication Channels

Our primary communication channel is WhatsApp. We endeavor to respond as promptly as possible. However, we do not guarantee specific response or turnaround times in these T&C.

Client Conduct

We expect civil and respectful communication at all times. Any form of harassment, abusive language, or disrespectful behavior may result in immediate termination of your subscription at our discretion.

Right to Refuse or Discontinue Service

We reserve the right to stop working with a client if we determine there is a valid justification (such as ongoing abuse, non-payment, legal concerns, or repeated breaches of these T&C).

6. Ownership & Intellectual Property

Proprietary Rights

Unless and until the opt-out fee is paid, all websites, designs, graphics, branding, and other deliverables created under your subscription remain our property or are licensed by us.

Client Materials

You represent and warrant that any content or materials you provide to us (e.g., logos, text, images) do not infringe on any third-party rights.

Transfer of Rights

Upon payment of the opt-out fee, full rights to applicable deliverables will be transferred to you. Any third-party licenses or materials may require their own transfer process or fees, for which you are responsible.

7. Limitation of Liability

No Guarantees

We do not guarantee any specific business results or SEO rankings. You acknowledge that outcomes can vary due to factors beyond our control.

Service Availability

While we strive to maintain uninterrupted service, we are not liable for any downtime, data loss, or other issues that may arise from service interruptions.

Exclusion of Certain Damages

To the fullest extent permitted by law, we (and our officers, employees, or agents) shall not be liable for any indirect, consequential, incidental, punitive, or special damages arising from or related to your use of our services.

Maximum Liability

Our total liability to you for any claim arising out of or relating to these T&C or our services will not exceed the total amount you paid to us in subscription fees in the six (6) months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Online Now! and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to:

  1. Your breach of these T&C.
  2. Your use or misuse of our services.
  3. Any claim that your content infringes on a third party's intellectual property rights.

9. Termination

Client-Initiated Termination

You may pause or cancel your subscription at any time by notifying us. Cancellation or pause becomes effective at the end of your current billing cycle.

Company-Initiated Termination

We may terminate or suspend your service if you breach these T&C, engage in disrespectful behavior, or fail to make timely payments.

Effect of Termination

Upon termination, access to the website and related services will cease unless you have satisfied the opt-out fee to transfer ownership of digital assets.

10. Privacy & Data Protection

We primarily collect your basic contact and billing information to process subscriptions and communicate via WhatsApp. We do not collect additional personal data unless otherwise stated.

11. Governing Law & Dispute Resolution

These T&C and any disputes arising out of or related to them are governed by and construed under the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction located in the United Kingdom.

12. Changes to Terms & Conditions

We may change or update these T&C at any time. Any modifications will be posted on our website, and by continuing to use our services after such changes, you agree to be bound by the updated T&C.
